Mandatory Arbitration and Class Action Waiver

This Agreement includes a mandatory arbitration clause and a class action waiver. Please review this document, including the Dispute Resolution section, before using the platform.

Acceptance of Terms

By registering, creating an account, or accessing and using the SystmyzAI platform and services ("Platform"), you agree to:

1. These Terms of Service ("Terms").

2. Our Privacy Policy, Data Processing Agreement, and Affiliate Agreement (if applicable).

3. Representing that you are at least 18 years old, providing accurate registration information, and having authority to bind your business entity if applicable.

Changes to Terms

SystmyzAI reserves the right to modify these Terms at any time. Changes take effect immediately upon posting. Continued use of the Platform constitutes acceptance of updated Terms.

Limited License and Platform Usage

SystmyzAI grants a non-exclusive, non-transferable license to use the Platform for lawful business purposes. You agree not to:

- Reverse-engineer, decompile, or disassemble the Platform.

- Use the Platform to violate any applicable law or regulation.

- Share access with competitors.

- Transmit malicious or harmful content.

Ownership and Intellectual Property

SystmyzAI retains ownership of all intellectual property rights associated with the Platform. You may not reproduce, distribute, or create derivative works from Platform content without prior authorization.

User Responsibilities

You are responsible for:

- Maintaining accurate account information.

- Ensuring that your employees and agents comply with these Terms.

- Implementing appropriate terms for your customers.

- Adhering to all applicable laws, including data privacy regulations.

Privacy and Data Use

By using the Platform, you consent to the collection and use of your data as outlined in the Privacy Policy. You must:

- Provide proper notices and obtain consents from your customers regarding data use.

- Ensure that your data handling complies with relevant laws.

Communication Features

Use of communication features (e.g., SMS, email) must comply with applicable laws such as the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act. You are solely responsible for all communications sent through the Platform.

Third-Party Services and Integrations

The Platform may include integrations with third-party services. SystmyzAI disclaims liability for issues arising from these services, and their use is subject to their respective terms and policies.

Payment and Billing

1. Fees: All fees are non-refundable and must be paid in advance unless specified otherwise. Usage-based fees will be billed monthly.

2. Disputes: Notify SystmyzAI within 30 days of any billing disputes. Payment is required during disputes.

3. Taxes: You are responsible for all applicable taxes associated with your use of the Platform.

Termination

SystmyzAI may suspend or terminate your access to the Platform for violations of these Terms or other applicable agreements. Upon termination, your right to use the Platform ceases immediately.

Limitation of Liability

To the fullest extent permitted by law, SystmyzAI is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or goodwill, resulting from use of the Platform.

Dispute Resolution

All disputes will be resolved through binding arbitration administered by the American Arbitration Association. Arbitration will take place in a mutually agreed-upon location. Claims must be brought individually and within three (3) months of the incident giving rise to the claim.

Governing Law

These Terms are governed by the laws of the state where SystmyzAI is headquartered.
